									<p data-start="1133" data-end="1527">The Committee’s evidence sessions and conclusions underline a position regulators have been signalling for some time. There is no imminent plan to create a neat, AI-specific regulatory regime that shields senior leaders from accountability. Instead, existing frameworks apply. Senior Managers and Certification Regime. Consumer duty. Operational resilience. Governance and conduct expectations.</p><p data-start="1529" data-end="1607">In simple terms, AI has arrived, but the accountability model has not changed.</p><p data-start="1609" data-end="1895">If an AI-driven system causes customer harm, financial exclusion, operational failure, regulatory breach or reputational damage, responsibility does not sit with “the algorithm”. It sits with the people who authorised its use, signed off on its deployment, and benefited from its outcomes.</p><p data-start="1897" data-end="1930">Boards cannot delegate that away.</p>								</div>

The report makes it clear that regulators are alive to this issue and are not sympathetic to the idea that technical complexity absolves responsibility.</p><p data-start="2528" data-end="2615">Not understanding the technology does not remove accountability. It magnifies the risk.</p><p data-start="2617" data-end="2886">From a board perspective, this matters because AI failures do not announce themselves politely. They surface as complaints, press interest, regulatory questions, system outages or sudden loss of trust. In short, labour inflation cascades through National Insurance, onboarding, and benefits budgets. </span></p>

The Office for Budget Responsibility notes that a clear majority of firms plan to absorb higher employment costs via lower profit margins, rather than resort to layoffs or pay cuts. A little here, a little there. Nothing dramatic enough to trigger immediate alarm, yet enough to erode resilience month by month until leadership suddenly realises they’re running out of room to manoeuvre.</span></p><p><span style="font-weight: 400;">The most impactful measure is the extension of frozen income tax and National Insurance thresholds through to 2030. On the surface, it looks harmless. In practice, it means every pay rise becomes more expensive, both for the business and the employee. Staff move into higher tax bands without earning any real-terms uplift, while employers face rising National Insurance contributions simply for keeping wages in line with inflation. For mid-tier firms, many of which operate on slim margins even in good years, it’s a structural drag that quietly compounds year after year.</span></p><p><span style="font-weight: 400;">When you add the increase in dividend and savings income tax, the picture sharpens. A significant number of mid-tier organisations are led by owner-directors who take income through dividends as part of their remuneration strategy. This Budget directly reduces their net take-home pay, weakening their ability to reinvest personal capital when the business faces pressure. It also introduces a new behavioural risk that many boards underestimate. A growing number of directors who have, until now, chosen to remain in the UK despite rising tax pressure may finally decide that enough is enough. When neighbouring jurisdictions offer more favourable tax treatment, lower personal burdens and clearer long-term policy commitments, relocation becomes a logical, not emotional, decision.</span></p><p><span style="font-weight: 400;">The consequence for mid-tier businesses is severe. When senior leaders leave the UK, they don’t just take their tax liabilities with them; they take their experience, their stability and their operational oversight. They take institutional memory and investor confidence. They take the commercial relationships that quietly hold a mid-tier firm together. In short, the business loses its centre of gravity at the exact moment the economic environment demands strong, present leadership.</span></p><p><span style="font-weight: 400;">Directors with reduced financial headroom become directors with fewer strategic options, and directors with fewer options are far more likely to delay decisions, avoid taking necessary risks or simply step away altogether. That hesitation, that lack of direction, is often the first point where a business starts to destabilise, long before anyone realises what’s really happening.</span><span style="font-weight: 400;"><br /></span><span style="font-weight: 400;"><br /></span><span style="font-weight: 400;">The salary sacrifice change is another slow-burning threat. From 2029, only the first £2,000 of pension contributions through salary sacrifice will attract National Insurance relief. For businesses that rely on this mechanism to retain senior leadership, particularly in competitive sectors, the cost of maintaining attractive compensation suddenly increases. In a mid-tier organisation, where leadership stability is often the difference between continuity and chaos, anything that destabilises reward structures is far from trivial.</span></p><p><span style="font-weight: 400;">Inflation, revised upwards again, only adds fuel. It keeps operational costs high, supply chains unpredictable, and wage demands persistent. Meanwhile, the OBR’s modest 1.5% growth forecast tells us what many leaders already know: this is not a landscape where you can grow your way out of trouble. It’s a landscape where maintaining stability is an active discipline, not a passive assumption. For businesses already stretched, a slight dip in sales, a small operational slip or a single misstep in stakeholder communication is often all it takes to transform pressure into genuine and often serious instability.</span></p><p><span style="font-weight: 400;">The smaller measures, such as the EV mileage tax, the new top-tier council tax bracket, and the ISA allowance cut, may seem peripheral, but for many mid-tier organisations, they chip away at leadership liquidity and personal resilience. When the owners or senior decision-makers feel personally squeezed, their appetite for business risk shrinks. Investment slows. Recruitment pauses. Decisions drift. What looks like a personal tax adjustment becomes a brake on the business.</span></p><p><span style="font-weight: 400;">This is how crises begin in mid-tier companies. Not with a dramatic collapse. Not with a catastrophic event, but with drift, with distraction, and with gradual tightening across financial, operational and leadership systems until something finally gives. Sales are dropping, confidence is wavering, and the instinct is to “just do more marketing.” It’s an understandable reaction. Marketing is visible and relatively quick to dial up: launch a new campaign, refresh the logo, pump more budget into ads. It offers a reassuring sense of action, but it can be a plaster on a bullet wound. I’ve walked into situations where the board’s push to “get the brand right” was masking a business teetering on the edge of a deeper crisis.</p><p data-start="1585" data-end="2114">One client brought me in, convinced a shiny rebrand would turn around their fortunes. In reality, their service delivery was so inconsistent that no new logo could paper over the customer exodus. It reminds me of the <a href="https://wearearxnova.com/whsmith-to-tgjones/" target="_blank" rel="noopener">WHSmith high street saga I wrote about recently</a>, a classic case of cosmetic change without real change. Simply changing the signage does not fix those <span style="box-sizing: border-box; margin: 0px; padding: 0px;">issues</span>. In other words, you can repaint the façade, but if the structure is unsound, the cracks will soon show through.</p>								</div>

No single executive, no matter how talented, can single-handedly cure a company that’s bleeding from multiple wounds. Even where distributions are made, they are often pennies in the pound. By the time a company reaches formal insolvency, assets are usually depleted, encumbered by secured lenders, or consumed by the costs of the insolvency process itself.</span></p><p><span style="font-weight: 400;">International comparisons highlight how damaging this pattern is. Across the Organisation for Economic Co-operation and Development (OECD) economies, average recovery rates are around 83 cents on the dollar where restructuring is used, but only 57 cents where liquidation dominates. In the UK, where 81% of insolvencies in 2024 were liquidations, the bias toward closure rather than rescue means outcomes for creditors are consistently poor.</span></p><p><span style="font-weight: 400;">The clear consequence is that creditors cannot assume that debts owed will ever be repaid once a company enters insolvency. In most cases, their claims vanish entirely.</span></p>								</div>

At the point of liquidation, Carillion carried £7 billion in liabilities and owed around £800 million to 30,000 subcontractors. More than 3,000 direct employees lost their jobs, but the wider toll was even greater. An estimated 75,000 people in the supply chain were affected as projects halted and payments evaporated.</span></p><p><span style="font-weight: 400;">Carillion’s demise didn’t just hurt private firms. It forced the UK government to step in to safeguard hospitals, schools, and infrastructure projects Carillion had been running. The cost to taxpayers of keeping those services going exceeded £150 million, illustrating how the collapse of one large business can impose systemic costs.</span></p>								</div>

This suggests that many companies wait too long to seek help, reaching insolvency only when assets are gone and recovery is impossible.</span></p><p><span style="font-weight: 400;">Directors often delay action out of denial or fear of stigma. The Insolvency Service data showed that by the time they act, the business is “grossly and irretrievably” insolvent. Creditors, meanwhile, may push for winding up petitions rather than supporting a turnaround.</span></p><p><span style="font-weight: 400;">Structural issues add to the problem. Since 2020, HMRC has held secondary preferential status for certain tax debts, meaning it is paid before many unsecured creditors. This reduces the incentive for other creditors to support rescue plans, making liquidation more likely.</span></p><p><span style="font-weight: 400;">The result is a culture where distress is managed too late and too destructively, ensuring poor outcomes for almost everyone involved.</span></p>								</div>
